1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of the website located at liguaneaadvisory.com (the "Site"), operated by Liguanea Advisory Group Limited ("Liguanea Advisory," "the Firm," "we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site.
We may revise these Terms from time to time. Any changes take effect when the revised Terms are posted on this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.
2. About the Firm
Liguanea Advisory Group Limited is an advisory firm based in Kingston, Jamaica, providing operations, technology, and strategic advisory services to organizations across the Caribbean region. The Site serves as an informational presence describing the Firm, its principal, and its areas of practice.
3. Informational Purpose Only
The content on this Site is provided for general informational purposes only. It describes the Firm's background, areas of practice, and approach to client work. Nothing on this Site constitutes professional, operational, technological, financial, legal, or investment advice, and it should not be relied upon as a substitute for tailored professional advice appropriate to your specific circumstances.
The information on this Site may be updated, supplemented, or removed at any time without notice. While we endeavour to keep the content accurate and current, we make no representation or warranty as to its completeness, accuracy, or applicability to any particular situation.
4. No Advisory Relationship
Important: Use of this Site, including the submission of an inquiry through the contact form or other initial communication with the Firm, does not create a professional advisory relationship between you and Liguanea Advisory Group Limited. No duty of care, fiduciary obligation, or duty of confidentiality arises from your use of the Site or from initial contact.
A professional advisory relationship, and the associated obligations, attach only upon the execution of a written engagement letter between you (or your organization) and the Firm. You are advised not to share confidential, proprietary, or sensitive information through the Site or in initial communications. Such information should be exchanged only after an engagement letter or non-disclosure agreement has been put in place.
5. Intellectual Property
All content on this Site, including text, design, graphics, layout, the Liguanea Advisory name and mark, and the arrangement and presentation of all materials, is the property of Liguanea Advisory Group Limited or its licensors and is protected by applicable intellectual property laws.
You may view, download, and print pages from the Site for your own personal or internal business reference, provided you do not remove any proprietary notices. You may not otherwise reproduce, distribute, modify, republish, or commercially exploit any content from the Site without our prior written consent.
6. Acceptable Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. In particular, you agree not to:
- Use the Site in any way that breaches applicable laws or regulations
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems
- Introduce malicious code, or otherwise interfere with the proper functioning of the Site
- Use the contact form or any communication channel to transmit unsolicited commercial messages, spam, or abusive content
- Collect or harvest information about other users, or scrape Site content for unauthorized commercial purposes
- Upload, through the client portal, any file containing malicious code, malware, or any content intended to damage, disrupt, or gain unauthorized access to the Site or any system
- Share, transfer, or permit another person to use your client portal access credentials or one-time access codes
7. The Client Portal
The Firm provides a secure client portal through which engaged clients may exchange documents with the Firm. Access to the portal is restricted to clients who have an active engagement and whose identity has been verified through a one-time access code issued to their registered email address, or by text message to a mobile number they provide where they choose that option.
If you are granted access to the client portal, you agree that:
- You will keep your access credentials and one-time access codes confidential and will not share them with, or allow them to be used by, any other person;
- You are responsible for the documents and information you upload, and you confirm that you are entitled to provide them and that they are free of malicious code;
- You will use the portal only to exchange documents relevant to your engagement with the Firm, and only for lawful purposes;
- You may remove a document you have uploaded until the Firm has received it; once the Firm has received an uploaded document it forms part of the engagement record, and its retention and any subsequent removal are then handled by the Firm as described in our Privacy Notice;
- You will notify the Firm promptly if you believe your access has been compromised or used without your authorization.
The Firm may suspend or withdraw portal access at any time, including on conclusion of an engagement or where these Terms are breached. Use of the portal and the handling of documents submitted through it are also governed by our Privacy Notice.
8. Incorporation Filing and Submission
Where you submit an incorporation intake through the client area, you authorize Liguanea Advisory Group Limited to prepare and file the resulting application — and any related submissions, including the company’s Beneficial Ownership Register (Form BOR-A) — with the Companies Office of Jamaica (the “COJ”), and to make any associated filings with Tax Administration Jamaica (the “TAJ”), on your behalf, based on the information and documents you provide.
You are responsible for the accuracy and completeness of the information you submit. Liguanea Advisory Group Limited cannot be held responsible for delays, rejections, or errors that arise from information submitted incorrectly, incompletely, or out of date.
You acknowledge that some delays may result from system, processing, or administrative issues on the part of the COJ or the TAJ, which are outside the Firm’s control and have no bearing on the Firm’s performance. A correctly submitted application typically takes from two business days upward to process, and may take longer where unexpected issues arise at the COJ or the TAJ.
Before an application is sent to the Firm for filing, you will be asked to confirm a declaration to this effect. Your acknowledgement of that declaration is recorded with your submission.
Where you complete and sign a document electronically through the client area or portal — including by entering your details and applying an on-screen signature — you agree that your electronic signature, and your electronic acknowledgement of any declaration, have the same legal effect as a handwritten signature, and that the resulting electronic record is valid and binding on you. The Firm relies on Jamaica’s Electronic Transactions Act, 2006, which gives electronic signatures and records the same legal standing as their handwritten and paper equivalents, and you consent to transacting with the Firm by electronic means.
You confirm that any identification and information you submit are genuine, current, and lawfully yours to provide. You agree that the Firm’s records of your electronic submissions, signatures, acknowledgements, and access — including its access and audit logs — may be relied upon as evidence of the matters they record.
9. Third-Party Services and Links
The Site relies on certain third-party service providers for hosting, security, form processing, and email, as described in our Privacy Notice. The Site may also contain links to external websites operated by third parties. We provide such links for convenience only and do not endorse, control, or accept responsibility for the content, accuracy, or practices of any third-party site. Your use of any linked third-party site is at your own risk and subject to that site's own terms and policies.
10. Disclaimer of Warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, nor that any defects will be corrected. You are responsible for implementing your own safeguards and for ensuring that any means you use to access the Site are adequate for that purpose.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Liguanea Advisory Group Limited, its principal, and its representatives shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
12. Indemnity
You agree to indemnify and hold harmless Liguanea Advisory Group Limited, its principal, and its representatives from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms or your misuse of the Site.
13. Privacy
Your use of the Site is also governed by our Privacy Notice, which describes how we collect, use, and protect personal information. By using the Site, you acknowledge that you have read and understood the Privacy Notice.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Jamaica. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Jamaica, without prejudice to any mandatory consumer protections available to you under the laws of your place of residence.
15. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining provisions, which shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Notice, constitute the entire agreement between you and the Firm regarding your use of the Site, and supersede any prior understandings or agreements relating to that subject matter.
