When an institution restructures, the finance and legal work gets a team, a timetable and the board’s full attention. Technology often gets a line item. Systems, data, access rights and vendor contracts are left to catch up after the new structure is announced, and that is where cost, risk and delay build up.
Liguanea Advisory leads the technology and AI side of a restructuring. We work alongside the institution’s financial advisors, legal counsel and executive team. We do not replace them. The capital structure, the numbers and the commercial plan stay with the people who own them. Our job is to make sure the technology, the data and the controls can carry the new organization on the first day and every day after.
Where we lead:
- Technology baseline — what systems, contracts, licenses, data and key people the institution actually has, and what the restructuring does to each
- Technology operating model — which platforms stay, merge or retire, and who owns what in the new structure
- AI adoption strategy — where AI can take cost and delay out of the new operating model, which uses are ready now, and which are not
- AI governance — approved tools, data rules, model risk, accountability and board reporting, set up before AI is scaled rather than after
- Access and control continuity — access rights, segregation of duties and privileged accounts that follow the new structure, including for staff who leave
- Vendor and contract restructuring — renegotiating, consolidating or exiting technology contracts in line with the new plan
- Data protection through the change — keeping personal data handling within the Data Protection Act while systems and teams move
- Integration and cutover oversight — senior oversight of migrations so the business keeps running while it changes
What we do not do
We do not lead financial restructuring, debt negotiation, valuation or sales strategy. Those need specialists, and we work closely with the ones you appoint. Being clear about this keeps accountability where it belongs.
